Athenaean Literary Society. Act of Incorporation (March 10, 1854)

 

An Act to Incorporate the Athenaean Literary Society of Centre College

Approved March 10, 1854

Section 1. Be it enacted by the General Assembly of the Commonwealth of Kentucky. That J.F. Philips, J.G. Hall, F.T. Fox, Jr., J.K. Sumrall, and their successors in office, be and they are hereby created a body politic and corporate, under the name and style of the Athenaean Literary Society of Centre College; who may sue and be sued, plead and be impleaded, and by such name shall have perpetual succession, shall have and use a common seal, and shall have power to alter or change the same at pleasure.

Section 2. That the above named corporators, and their successors in office, shall have power and authority to acquire and hold all such real and personal estate, goods, and money as may be necessary, convenient, or proper for said society; and they may from time to time, sell and dispose of the same as they may think proper.

Section 3. That the said corporators, and their successors in office, may choose a president, and such other officers as the society may from time to time create, whose term of office shall be for such time as said society may determine.

Section 4. That said society shall have power to pass all by-laws, rules and regulations, not contrary to the laws nor constitution of this commonwealth, nor the United States, and may modify, change, or repeal the same at pleasure; and enact such others as the interests of said society may require.

Section 5. The legislature reserves the right to change, alter, or amend this charter at pleasure.

Section 6. No banking privileges are conferred by this charter.
