Caldwell College Board of Trustees Minutes (1906)

Danville, Ky. April 6, 1906

The Board of Trustees of Caldwell College met at the office of President John C. Acheson in Caldwell College. Present Gavin E. Wiseman, Sr., Robert T. Quisenberry, Alfred B. Nelson, John A. Quisenberry, N.K. Tunis, J.J. Craig, George W. Welsh, J.H. Letcher, John C. Acheson, and John A. Cheek.

Minutes of previous meetings were read as recorded and approved. Committee to examine and audit accounts of John C. Acheson for the fiscal years ending September 1st 1904 and September 1st 1905, made report which was approved and the accounts ordered filed with the Secretary and to be deposited in a tin box to be provided for the charter, Treasurer reports and other valuable papers. The Treasurers report from January 2nd 1905 to September 1st 1905 was read and approved, and ordered spread on the minutes.

The contract with Mr. John C. Acheson for the year from July 1st 1906 to July 1st 1907, was produced and approved and ordered signed by the President of the Board of Trustees.

John A. Cheek, Secretary and Treasurer, reported to the Board that while in Louisville, Ky., in a conversation with Mr. James A. Shuttleworth, he was authorized to say to the Board that Mr. Shuttleworth would give the use of the Chestnut & McGoodwin places now owned by him to Caldwell College free of rent for the school year 1905-06. In accepting this offer, the following paper was adopted.

Whereas the Board of Trustees of Caldwell College have been informed by its Secretary of the offer of Mr. James A. Shuttleworth of Louisville, Ky., to give the use of the grounds and buildings thereon, adjoining Caldwell College on the east and now owned by him, to be used by them free of rent for school purposes for the year ending June 1907.

Resolved:

  1. That this Board expresses its appreciation of the deep interest of Mr. Shuttleworth in the cause of education, and the establishment at Danville of a college for the higher education of women.
  2. That it accepts with thanks this offer as a temporary relief of most pressing needs for the coming year.
  3. That the Secretary be directed to furnish a copy of this action to Mr. Shuttleworth.

The fiscal year of this Board and for the reports from Mr. John C. Acheson under his contract was fixed from September 1st 1905, ending on September 1st of each year hereafter.

On motion, the Treasurer bond was fixed at $10,000 - and the bond of John A. Cheek, as Treasurer with Samuel R. Cheek was approved.

Gavin E. Wiseman, Sr. and Alfred B. Nelson were appointed the auditing committee for the Treasurer accounts, and Mr. John A. Quisenberry and John A. Cheek, the committee to audit the accounts of President John C. Acheson.

The Board fixed the first Tuesday of March and the first Tuesday of November in each year as the dates for the regular meetings of the Board.

On motion, Mr. John C. Acheson was requested to appoint and designate Mrs. John C. Acheson as Lady Principal, and the Executive Committee was authorized to confer with Mr. Acheson as to the amount of salary to be paid her in same way as teachers are paid. Board adjourned.

Board of Trustees of Caldwell College met at Citizens National Bank. Present Gavin E. Wiseman, Alfred B. Nelson, John C. Acheson, Robert T. Quisenberry, George W. Welsh, J.H. Letcher, N.K. Tunis, J.M. Wallace, J.E. Wiseman, Samuel R. Cheek, John A. Quisenberry, J.J. Craig, and John A. Cheek.

The object of the meeting was stated by Mr. John A. Quisenberry and after an informed discussion, the Board adjourned to meet in 2nd Presbyterian Church ad 3 1/2 o'clock on next day, September 21st, 1906.

Board of Trustees of Caldwell College met. Present Gavin E. Wiseman, Sr., George W. Welsh, Rrobert T. Quisenberry, J.M. Harbison, Alfred B. Nelson, John C. Acheson, J.M. Wallace, John A. Quisenberry, N.K. Tunis, J.J. Craig, J.H. Letcher, J.E. Wiseman and John A. Cheek.

The proposition of Mr. James A. Shuttleworth to give the land recently purchased by him from George W. Chestnut and Mrs. Lula H. McGoodwin costing $20,000 - (and which land adjoins the property of Caldwell College on the East) to a new corporation to be known as The Womans College of Kentucky, provided the Trustees of Caldwell College deed their property adjoining this land to the same corporation, and each of the Synods of Kentucky indorses the project and pays into The Womans College of Kentucky the sum of $40,000 from each Synod on or before April 1, 1907, was presented to this Board and fully explained. On motion, the plan was approved and the President of this Board authorized to sign a deed to the property of Caldwell College transferring same to the Womans College of Kentucky. A committee consisting of Gavin E. Wiseman, Sr., J.M. Wallace, Charles H. Rodes, John A. Quisenberry, Robert T. Quisenberry, and John A. Cheek, were appointed to carry out the details and approve the deed. On motion, Gavin E. Wiseman as President and John A. Cheek as Secretary were authorized to sign said deed and affix the seal of this corporation, and deposit the same with the Citizens National Bank of Danville, Ky., to be held in escrow to be aligned simultaneously with the deed of James A. Shuttleworth to the Womans College of Kentucky on the payment of $80,000 - on or before April 1st 1907.
